No Hosting or Maintenance Service

After your web design is completed, we will send it to you to host and maintain yourself.

Domain Name

If you do not have a Domain name, Direct iT will contact you about purchasing a new Domain name for your company.

If you do have a Domain name and choose to host your website with Direct iT, you will need to provide your username and password.

Service Contract for Website Services

Web Services Agreement:

This Web Site Design and Web Site Hosting Service Agreement is between Direct iT Inc. ("Direct iT"), a Massachusetts based corporation, and you the client, your heirs, assigns, agents and contractors ("Client") and is effective upon receipt and acceptance of electronic submission of the web site order form by Direct iT.

Under this agreement Direct iT will "produce", "host", "publish" and "maintain": Client’s web site.

Definition of terms:

"Produce" means completion of the design of client’s website upon the submission of Web Site order form. "Host" means storing client’s website on Direct iT’s servers. "Publishing" means making client’s website available on the internet for public access. "Maintain" means updating the website under conditions set forth in "updates".

Provider Obligations and Availability of Services:

Subject to the terms and conditions of this Agreement, Direct iT shall attempt to provide Web Hosting for twenty-four (24) hours a day, seven (7) days a week throughout the term of this Agreement. Client agrees that from time to time the Web Hosting may be inaccessible or inoperable for any reason, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs that Direct iT may undertake from time to time; or (iii) causes beyond the control of Direct iT or that are not reasonably foreseeable by Direct iT, including, without limitation, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failures. Client agrees that Direct iT has no control of availability of Web Hosting on a continuous or uninterrupted basis.

Clients Obligations:

Updates:

Clients that have ordered their web sites through the "Design my Website" Link and have purchased and paid for hosting and maintaining, will have the flexibility to update their Web site's contents, pictures and templates once a month. All updates for any month must be submitted electronically no later than the 15th of the prior month. Direct iT will make the changes available no later than the last day of the prior month. (As an example if the client requires updates to their website in the month of April, then the client must submit these changes no later than March 15th and Direct iT will update the website no later than March 31st ) Only one update per month is allowed.

Fees and Payments:

Client agrees to pay Direct iT the fees specified in the web site order form, as well as any additional charges as may be in effect from time to time for any additional services requested by Client. Initial Setup fees together with the first year Hosting and Maintenance charges, are due and payable before the site is published. Domain name registration fees (If submitted by Direct iT) are due and payable as and when requested. Renewals are automatic for successive one-year term at Direct iT’s then current fees and subject to terms and conditions then in effect, unless either party gives notice of non-renewal to the other party at least sixty (60) days in advance of any renewal date, including the first yearly renewal date.

Representations and Warranties:

Client represent and warrants to Direct iT that their contents does not and shall not contain any content, materials, data, work, trade or service mark, trade name, link, advertising or services that actually or potentially violate any applicable law or regulation or infringe or misappropriate any proprietary, intellectual property, contract or tort right of any person and that client owns the website content and all proprietary or intellectual property rights therein, or have express written authorization from the owner to copy, use and display the content on and within the web site.

DISCLAIMER OF WARRANTY:

Customer acknowledges and agrees that Direct iT exercises no control over, and accepts no responsibility for, the content of the information passing through Direct it’s host computers, network hubs and points of presence (the "Direct iT Network") or the Internet. NEITHER Direct iT, ITS EMPLOYEES, AFFILIATES, MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT FOR THE SERVICES PROVIDES. NEITHER Direct iT, ITS EMPLOYEES, AFFILIATES, WARRANT THAT THE SERVICES WILL NOT BE INTERRUPTED OR ERROR FREE; NOR DO ANY OF THEM MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION SERVICES OR MERCHANDISE CONTAINED IN OR PROVIDED THROUGH THE SERVICES. DIRECT iT IS NOT LIABLE FOR THE CONTENT OR LOSS OF ANY DATA TRANSFERRED EITHER TO OR FROM CUSTOMER OR STORED BY DIRECT iT VIA THE SERVICE(S) PROVIDED BY DIRECT iT.

INDEMNIFICATION:

Client will indemnify, save harmless, and defend Direct iT, its employees, and affiliates (collectively "indemnified parties") from and against any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings (whether legal or administrative) and expenses (including but not limited to attorneys’ fees) arising out of or relating to the use of the Services by client.

LIMITATION OF LIABILITY:

IN NO EVENT SHALL Direct iT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR USE, SUFFERED BY CUSTOMER OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT, TORT OR STRICT LIABILITY OR OTHER LEGAL THEORY, EVEN IF Direct iT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event will Direct iTs liability for any damages, losses and causes of actions whether in contract or tort (including negligence or otherwise) exceed the actual dollar amount paid by Client for the Service which gave rise to such damages, losses and causes of actions.
